General terms of trade OF HILL WOLTRON MANAGEMENT PARTNER

Pricing

Our quoted salaries are net prices excluding 20% VAT.

Terms of payment

Payment of all invoices is due in full amount within 10 days upon
receipt. This excludes external expenses such as advertising costs,
travel expenses and the like, which are due immediately in full amount.
The first part of the order will be invoiced directly after receiving the
order. Further parts will be invoiced according to individual agreements.
In case of personnel search and selection the second part of the
payment in any case is due after the presentation of the candidates.

Delayed payment

In case of delayed payment, a default interest rate 4% higher than the
European Central Bank’s current bankrate is agreed upon. All dunning
and prosecution charges, particularly any collection agency fees, will be
invoiced separately.

Place of jurisdiction

The relevant court of law in the respective Austrian capital is agreed
upon as the place of jurisdiction, unless mandatory legal conditions
demand otherwise; Austrian laws apply.

Liability

We are only liable to you for gross negligence and malicious intent in
all business matters.

Assertion of claims

No claims of any kind may be charged up against any other claims.

Protective stipulations

All results of our selection procedures remain our property after they
have been transferred to you. Documents of application are to be
handled with strictest confidentiality and returned to us in case of
disuse, and are not under any circumstances to be passed on to third
parties. If a candidate presented by us is hired within 12 months by your
company directly, by any affiliates, or as a freelancer, HILL is entitled to
the agreed salary. You are obligated to inform us of any such
circumstances immediately and in written form.

Stipulations for international partners

Since the offices operating under the name of HILL are franchisees,
local legal provisions and each franchisee’s terms of service apply in
addition to these terms of service.
